These Lenovo Device Orchestration Terms and Conditions (referred to herein as the “Agreement”) outlines the general terms regarding the access and use of Lenovo Device Orchestration software delivered to you as a SaaS solution accessible via a remote cloud computing network (the Cloud).  

Lenovo UDS Terms & Conditions

The following are terms of a legal agreement between you and Lenovo (“we,” “us,” or “our”). By accessing, browsing and/or using this website, UDS Portal, ThinkShield Key Vault Portal, ThinkReality Platform, its related web pages, interactive features and Services (defined as applications or other tools or programs), and their respective contents, or any other website linking to these terms, whether accessed via computer, mobile device or other technology (collectively, the “Website”), you acknowledge that you have read, understood, and agree, to be bound by these “Site Terms of Use” and to comply with all applicable laws and regulations, including export and re-export control laws and regulations. If you do not agree to all of these terms, we are unwilling to grant you access to the Website, and you must immediately cease use of the Website and any associated Services.

PLEASE READ CAREFULLY THESE TERMS (AND THEIR INCLUDED LINKED INFORMATION, SUCH AS OUR PRIVACY STATEMENT WHICH IS HEREBY INCORPORATED BY REFERENCE). BY ACCESSING, BROWSING OR USING THE WEBSITE, YOU ACKNOWLEDGE AND REPRESENT THAT YOU (I) HAVE READ THESE TERMS AND THE PRIVACY STATEMENT, (II) UNDERSTAND THEM, (III) ACCEPT AND AGREE TO BE BOUND BY THEM, (IV) ARE ABLE TO FORM LEGALLY BINDING CONTRACTS, AND (V) AGREE TO COMPLY WITH ALL LAWS AND REGULATIONS APPLICABLE TO YOU, TO THE USE OF THE WEBSITE, AND/OR THE INTERNET. IF YOU ARE USING THE WEBSITE ON BEHALF OF AN ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE FULL AUTHORITY TO BIND THAT ENTITY TO THESE SITE TERMS OF USE.

In addition, certain portions of the Website and Services may be subject to additional terms of use that we make available for your review or otherwise link to that portion of the Website or Service to which such additional terms apply. By using such portions, or any part thereof, you agree to be bound by the additional terms of use applicable to such portions. In the event that any of the additional terms of use governing such portion conflict with these terms, the additional terms will control. Sales of Lenovo products and services are also subject to a separate sales agreement.

Age Restrictions

The Website and Services may be accessed and used only by individuals who can form legally binding contracts under applicable laws, who are at least 18 years of age or the age of majority in their state or territory of residence (if higher than 18), and who are not barred from using the Website and Services under applicable laws.

Ownership

You understand and acknowledge that the software, code, proprietary methods and systems used to provide the Website and Services (“Our Technology”) are: (a) copyrighted by us and/or our licensors under United States and international copyright laws; (b) subject to other intellectual property and proprietary rights and laws; and (c) owned by us or our licensors. Our Technology may not be copied, modified, reproduced, republished, posted, transmitted, sold, offered for sale, or redistributed in any way without our prior written permission and the prior written permission of our applicable licensors. You must abide by all copyright notices, information, or restrictions contained in or attached to any of Our Technology. Nothing in these Site Terms of Use grants you any right to receive delivery of a copy of Our Technology or to obtain access to Our Technology except as generally and ordinarily permitted through the Website according to these Site Terms of Use. Furthermore, nothing in these Site Terms of Use will be deemed to grant you, by implication, estoppel or otherwise, a license to Our Technology except as included herein. Certain of the names, logos, and other materials displayed via the Website constitute trademarks, tradenames, service marks or logos (“Marks”) of us or other entities. You are not authorized to use any such Marks. Ownership of all such Marks and the goodwill associated therewith remains with us or those other entities. Any use of third-party software provided in connection with the Website or Services will be governed by such third parties’ licenses and not by these Site Terms of Use. This Website and Services may contain other proprietary notices and copyright information, the terms of which must be observed and followed. Information on this Website and Services may contain technical inaccuracies or typographical errors. Lenovo assumes no responsibility regarding the accuracy of the information that is provided by Lenovo and use of such information is at the recipient's own risk. Lenovo provides no assurances that any reported problems may be resolved with the use of any information that Lenovo provides. By furnishing information, Lenovo does not grant any licenses to any copyrights, patents or any other intellectual property rights.

Right to Modify the Website

We reserve the right to modify or discontinue the Website or any Service, in whole or in part, with or without notice to you. Information may be changed or updated without notice. Lenovo may also make improvements and/or changes in the products and/or the programs described in this information at any time without notice. We will not be liable to you or any third party should we exercise our right to modify or discontinue the Website or Service. If you object to any such changes, your sole recourse will be to cease access to the Website or Service. Continued access to the Website or Service following notice of any such changes will indicate your acknowledgement of such changes and satisfaction with the Website or Service as so modified.

User Submissions

Lenovo does not accept and will not consider unsolicited submissions of ideas, creative materials, processes, comments, feedback or technology (each an “Unsolicited Submission”). Please note that any Unsolicited Submissions sent to Lenovo will be deemed NOT to be confidential. By sending Lenovo any Unsolicited Submissions, you grant Lenovo an unrestricted, irrevocable, perpetual, non-exclusive, royalty-free, fully paid-up, fully sublicenseable, fully transferable, worldwide license to use, reproduce, display, perform, modify, transmit and distribute those Unsolicited Submissions for any purpose whatsoever, including any ideas, concepts, know-how or techniques which may be included or disclosed therein. You hereby acknowledge that you grant Lenovo such rights in consideration of the right to access and utilize this Website and that Lenovo has no obligation to further compensate you or acknowledge your submission. For further information, please consult Lenovo’s External Submission Policy, which is incorporated by reference into and made part of these Site Terms of Use. Lenovo will not release your name or otherwise publicize the fact that you submitted materials or other information to us unless: (a) we obtain your permission to use your name; or (b) we first notify you that the materials or other information you submit to a particular part of this Website will be published or otherwise used with your name on it; or (c) we are required to do so by law. You represent and warrant that you will not post or share any content through the Website that in any manner:

There may be instances where we solicit your suggestions, ideas, innovations, feedback or opinion regarding various areas of our business, the Website, or our products or Services (“Feedback”). If you choose to send us your Feedback (as we hope you do), please understand that in order for Lenovo to accept your input, you must agree that Lenovo has your permission on an unrestricted basis to use, disclose, and exploit any such Feedback you provide and that Lenovo has no obligation to compensate or acknowledge you in any way or to keep your Feedback confidential. By sending any Feedback to Lenovo you are indicating your agreement to these terms. If you do not agree with these terms, please do not submit any Feedback.

Privacy

Your personal information will be treated in accordance with our Privacy Statement and the Lenovo Device Orchestration Privacy Statement (collectively the “Privacy Statement”).  IF YOU ACCESS THE WEBSITE OR SERVICE, YOU AGREE THAT YOU ARE ACCEPTING THE TERMS AND CONDITIONS OF OUR PRIVACY STATEMENT. IF YOU DO NOT AGREE TO HAVE YOUR INFORMATION USED IN ANY OF THE WAYS DESCRIBED IN THE PRIVACY STATEMENT, YOU MUST DISCONTINUE ACCESS TO THE WEBSITE AND SERVICE IMMEDIATELY.

Accounts

If you choose to create an account (“Account”), you represent and warrant to us that all information you provide to us is true, accurate, current and complete, and you agree to maintain and promptly update such information to keep it true, accurate, current and complete. If we believe or suspect that such information is untrue, inaccurate, not current, or incomplete, we may deny or terminate your access to the Website (or any portion thereof). When you set up an Account, you are required to select a Lenovo ID (which may be an email address) and a password. You may not transfer or share your user name and password with any third parties. You are solely responsible for maintaining the confidentiality of your Account log-in information, including but not limited to taking steps to prevent unauthorized access by safeguarding your log-in information. You are solely responsible for any and all use of your Account and all activities that occur through your Account.

General Rules of Conduct

You agree not to, and represent and warrant that you will not, reproduce, duplicate, copy, sell, resell or exploit any portion of the Website or Services, or access to the Website or Services for any purposes other than for your internal business purposes, or do any of the following:
  1. Conduct or promote any illegal activities while using the Website or Services;
  2. Attempt to reverse engineer or jeopardize the correct functioning of the Website or Services , or otherwise attempt to derive the source code of the software (including the tools, methods, processes, and infrastructure) that enables or underlies the Website or Services;
  3. Create derivative works of the Website or Service;
  4. Attempt to gain access to secured portions of the Website or Service to which you do not possess access rights, or circumvent the user authentication or security of the Website or Service or any host, network, or account related thereto or circumvent or otherwise interfere with any user authentication or security of the Website or Service. You will immediately notify Us of any breach, or attempted breach, of security known to you.;
  5. Upload or transmit any form of virus, worm, Trojan horse, or other malicious code;
  6. Use the Website or Service to generate unsolicited email advertisements or spam; allow, enable, or otherwise support the transmission of mass unsolicited, commercial advertising or solicitations via e-mail (spam);
  7. Use the Website or Service to stalk, harass or harm another individual;

High-Risk Disclaimer

The Website and Services are not fault-tolerant and are not designed or intended for use in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, weapons systems, life-support machines, or any other application in which the failure of the Services could lead directly to death, personal injury, or severe physical or property damage (collectively, “High-Risk Activities”). We expressly disclaim any liability or express or implied warranty of fitness for High-Risk Activities.

Customer & System Data

Any Services are not intended to replace the need for you to maintain regular data back-ups or redundant data archives. WE WILL HAVE NO LIABILITY FOR LOSS OR RECOVERY OF DATA OR PROGRAMS or loss of use of system(s) arising out of the Services.

Our Right to Audit; Use of Data

You grant us the right to audit your use of the Website and Services, in order to confirm compliance with these Terms. You acknowledge and agree that we may use, on an aggregated, non-individually-identifiable basis, all information regarding networking characteristics, usage, performance and related data involved in the use of this Website and Services.

Your Obligations

You shall be responsible for obtaining and maintaining any equipment and ancillary services needed to connect to, access or otherwise use the Website and Services, including without limitation, hardware, software, networking, and the like.

Content from other users and third parties may be made available to you through the Website or Service (“Third Party Content”). Because we do not control Third Party Content, you agree that we are not responsible for any such content. This provision shall survive the termination of this Agreement and remain in full force and effect.

Duration of Access

You agree that we, in our sole discretion, may immediately terminate your access to the Website and Service at any time, for any reason. YOU AGREE THAT WE WILL NOT BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY TERMINATION OF YOUR ACCESS TO THE WEBSITE, SERVICE OR DELETION OF YOUR ACCOUNT.

Electronic Communications

The communications between you and us use electronic means, whether through the Website or via email. For contractual purposes, you (a) consent to receive communications from us in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications would satisfy if it were in a writing.

Mobile Services

If permitted or available through any feature of the Website or Service , and you access the Website or Service using text messaging or a mobile device or application, you are responsible for any and all service fees associated with any such mobile access, including all applicable data fees, and for complying with all terms of use imposed by the carrier.

General Terms

You are responsible for compliance with all applicable laws. These Site Terms of Use and the relationship between you and us will be governed by the laws of the State of North Carolina, U.S.A., without giving effect to any choice of laws principles that would require the application of the laws of a different country or state. These Site Terms of Use are personal to you, and you may not transfer, assign or delegate your right and/or duties under these Site Terms of Use to anyone else and any attempted assignment or delegation is void. You acknowledge that we have the right hereunder to seek an injunction, if necessary, to stop or prevent a breach of your obligations hereunder. The paragraph headings in these Site Terms of Use, shown in boldface type, are included only to help make the agreement easier to read and have no binding effect. Any delay or failure by us to exercise or enforce any right or provision of these Site Terms of Use will not constitute a waiver of such right or provision. No waiver by us shall have effect unless such waiver is set forth in writing, signed by us; nor shall any such waiver of any breach or default constitute a waiver of any subsequent breach or default. These Site Terms of Use constitute the complete and exclusive agreement between you and us with respect to their subject matter, and supersede all prior oral or written understandings, communications or agreements. If for any reason a court of competent jurisdiction finds any provision of these Site Terms of Use, or portion thereof, to be unenforceable, that provision of the Site Terms of Use will be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of these Site Terms of Use will continue in full force and effect.

Artificial Intelligence Terms

Your use of Lenovo Device Orchestration may contain artificial intelligence (“Artificial intelligence” or “AI”) elements and features which may leverage large language models developed by Lenovo or others (“AI Services”). 
For example, this may include you adding content input in a dialog box with a chatbot, or authorize a software application (embedded with large language models) to access and process your files, images, or other information (collectively referred to as "inputs"), and content will be generated based on the inputs, such as text output, tables, codes, pictures and other contents (collectively referred to as "outputs"). Inputs and outputs are collectively referred to as "Your Content".
You should be aware that:
  1. You should not rely on factual assertions in outputs without independently fact-checking their accuracy. Outputs that appear accurate because of their detail or specificity may still contain material inaccuracies; and 
  2. AI Services cannot dynamically retrieve information, and outputs may not account for events or changes to underlying facts occurring after the AI model was trained.
The content generated with AI Services is for your reference only. You need to review the generated content and judge its value by yourself. We will not be responsible for any damage or other consequences caused by your use of AI Services, the content generated, or your decisions or actions made by referring to or relying on the content generated. Unless expressly required by law, AI Services content generation will be in English. 
You must strictly abide by relevant sections under the “Prohibited Uses” terms of this Agreement regarding your use of the AI Services.
In addition to complying with the “Prohibited Uses” terms of this Agreement, in connection with your use of AI Services and your sharing of the AI generated content or other information through Lenovo Device Orchestration, you promise not to take any of the following actions:
  1. Generate content or share information that may infringe others’ rights, such as:
    1. Submit any input that includes trademarks or other materials protected by third-party intellectual property rights, unless you have sufficient rights in such materials.
    2. Submit any input that is intended to generate output that is substantially like a third party’s copyrighted work or is otherwise protected by third-party intellectual property rights, unless you have sufficient rights in such work. 
    3. Submit any input that contains personal data unless you comply with all data protection and privacy laws and regulations applicable to the personal data in accordance with terms of this Agreement addressing data privacy, including those included in the Service Schedule.
Although we have taken corresponding compliance measures, due to the limitations of artificial intelligence and other relevant technologies, we cannot guarantee the authenticity and legality of all content generated with AI Services. Before you publish or disseminate content generated with AI Services, you should: (1) verify the authenticity and accuracy of the output content and avoid spreading false information; (2) mark in a conspicuous manner that the output content is generated by artificial intelligence to inform the public; (3) avoid publishing and disseminating any output content that may violate applicable laws or these policies.
Given that the content generated by Lenovo Device Orchestration features may rely on machine-trained artificial intelligence models, the content generated from input of different users in different scenarios may have similarities and differences; that is, the generated content may be the same, similar, or partially or completely different. You understand and agree that if your output is the same or like the output of other users, you and the other users will each use the corresponding output based on their input, and you should not regard the output of other users as your output.
To ensure users’ compliance with these acceptable use policies, you acknowledge and agree that 1) we may use automated systems and humans to review your use of Lenovo Device Orchestration including but not limited to activities associated with your account, Your Content and other information you shared; and 2) take measures such as blocking activities, content or information that, based on our reasonable belief, may violate relevant laws, regulations and our policies. Please do not take actions, generating content or sharing information that you do not want us to review. You must not maliciously obstruct Lenovo Device Orchestration content filtering or other review mechanisms by using meaningless garbled characters, numbers, variations, homonyms, complex semantics or long text. Notwithstanding the above, you are solely responsible for any claim or liability in connection with your use of Lenovo Device Orchestration and our review do not mean that we accept any liability.

Changes to Our Terms of Use

Lenovo may at any time revise these Site Terms of Use by updating this posting. By using this Website or Service, you agree to be bound by any such revisions and should therefore periodically visit this page to determine the then current terms to which you are bound. It is your sole responsibility to check the Website from time to time to view any such changes to the terms in the Site Terms of Use. Lenovo Device Orchestration Service Description Schedule

This Lenovo Device Orchestration (LDO) Service Description Schedule (“Service Schedule”) is incorporated into the Lenovo Device Orchestration Terms and Conditions (referred to therein as the “Agreement”). This Service Schedule amends the Agreement solely with respect to the Service identified in this Service Schedule. Any capitalized terms not defined in this Service Schedule will have the meaning given to them in the Agreement. Delivery of the LDO Software as a Service (“SaaS”) solution is also subject to the terms and conditions of the Lenovo Software as a Service Cloud Agreement, which you also agree to accept by entering into this Service Schedule. 
If You are entering into this Service Schedule on behalf of Customer by clicking to accept it, You represent and warrant that: (a) You have full legal authority to bind Customer to this Service Schedule; b) You have read and understand this Service Schedule; and (c) You agree, on behalf of Customer, to this Service Schedule
The parties agree as follows:

1. Definitions

“Customer” means you and/or the organization of which you are a part on whose behalf you are accepting the Agreement and the terms of this Service Schedule, as applicable.
“Order Form” means the operational sales agreement entered into between Customer and Lenovo.
“Service” means only the Lenovo Device Orchestration SaaS offering.
“SLA” means the SLA or Service Level Agreement as may be defined in an applicable binding agreement between you and Lenovo.
“End-Users” means the Customer’s employees whose PCs this Product may be deployed on.

2. Service Description

A proactive device management SaaS solution using health monitoring and AI machine learning technology to:
  1. Perform PC health monitoring scans to identify issues that have already occurred that may need remediation. (Proactive technology).
  2. Perform PC health monitoring, AI machine learning and data modeling to look for patterns and anomalies that would indicate select hardware, software or other system elements are about to fail (Predictive technology). Constantly recalibrate to make the data models and predictive accuracy smarter and smarter.
  3. Proactively send alerts to IT admins if changes or issues are identified on a device or if a failure is predicted or has already failed.
  4. Recommend prescriptive solutions which can be executed by IT administrators.
  5. Resolve issues, giving administrators the choice of action depending on the issue surfaced.
  6. Provide an administrative dashboard for visualization, management and support of devices in the customer domain.
  7. Integrate dashboard with other 3rd Party applications for workflow management and additional analytics/insights. Provide API to connect 3rd Party Predictive and Proactive tools.
  8. Dependent on the LDO SaaS license type assigned to the device(s), deploy updates (software, firmware, driver, BIOS) to the device to ensure corporate compliance and security measures are met.
The solution is intended for use by the Customer’s IT Administrator or similar role which is in charge of the management and support of the Customer’s employees/End Users devices on which this solution will be deployed.
Lenovo is not responsible to the Customer or to any third parties for providing repairs to, or replacement of, devices or device parts, nor any costs accrued by the Customer from procuring such repairs and replacements. 
Replacement and repair of devices, or, parts of devices, is available pursuant to the terms of an applicable Lenovo warranty.

3. Support

Lenovo SLA. During the Term of the applicable agreement the web interface will be operational and available to Customer at least 99.9% of the time in any calendar month. If Lenovo does not meet the SLA, and if Customer meets its obligations under this SLA, Customer will be eligible to receive the Service Credits. This SLA states Customer's sole and exclusive remedy for any failure by Lenovo to meet the SLA.
Lenovo Support. All Customers will receive Standard Support which includes the following: Maintenance updates of the Services, basic Online self-help and training for End Users and Administrators designed to assist Customers with implementation and use of the Services, Access to support online and issues related to the Service to work as intended. Advanced training may be fee based.
Technical Support. Customer is responsible for responding to questions from their End Users relating to Customer's or End Users' use of the Products. Lenovo only provides technical support services for the Products to the extent described in the Lenovo terms of support documentation.

4. Service Term

This Service will remain in effect for the Term specified in the Order Form operational document unless it expires or is terminated in accordance with the Agreement.

5. Payment Plan Terms

Payment terms are according to Order Form and Agreement. Updates or modifications to these Payment terms will only apply prospectively to new Order Forms.

6. Renewal

If You want to renew the Services for another Term, You need to provide notice to Lenovo according to the renewal provision in the Order Form.

7. Compliance with Law; Privacy, Customer Responsibilities

In addition to the customer responsibilities set out in the Agreement and the Lenovo Software as Service Cloud Agreement, Customer shall at all times use the LDO solution in compliance with applicable laws and regulations, including but not limited to applicable privacy laws and regulations, including requirements related to explicit consent or appropriate legal basis for processing of personal data, transparency, data subject access requests and data subject rights, data minimization, monitoring of employees, etc. Customer shall implement such control mechanisms and/or adjustments to comply with these laws and/or regulatory requirements. Customer shall be exclusively liable for any use of the solution that is not in compliance with applicable law.
Customer acknowledges that use of the solution may be subject to employment law and Trade Union related requirements such as consultation, notification and approval, and shall meet such requirements in accordance with applicable laws prior to deployment of the solution.
Customer shall only use the solution for its intended purpose of managing devices and shall not improperly use any information in the solution to evaluate an employee’s performance or any purpose that could impact an employee’s rights and agrees not to use information accessible as a result of using the solution to evaluate an employee’s performance or any purpose that could impact an employee’s rights and will implement appropriate measures to prevent inaccuracies in the collection and analysis of date, including misrepresentation of data, falsification, mistakes, biases, in incorrect references.
Customer must implement appropriate measures to ensure that potential inaccuracies in the collection and/or analysis of data that may have detrimental effect on impacted individuals are prevented, including but not limited to misinterpretation of data, deliberate falsification, mistakes in the data analytics, incorrect inferences, biases, etc.
